Official rules of the 2010 Forum Nokia Calling All Innovators contest

NO PURCHASE NECESSARY TO ENTER OR RECEIVE A PRIZE. A PURCHASE WILL NOT INCREASE CHANCES OF RECEIVING A PRIZE.

The Forum Nokia “Calling All Innovators Contest” ("Contest"), brought to you (either an individual or an entity) by Nokia Corporation ("Sponsor"), is governed by these “Official Rules”. In order to enter the Contest, you must agree to these Official Rules. The Contest begins at 11:00 AM EST on February 1, 2010 and the submission period closes at 11:59 PM EST on May 18, 2010 (the "Contest Period").

ELIGIBILITY:
This Contest is open to individuals, teams of individuals and business entities in all countries (each individual, each team, each individual member of a team, and each entity is referred to as an "Entrant" in these Official Rules). Entrant(s) must be age 18 or older as of the date of submitting the entry (“Entry”). Employees and directors of Sponsor, and Sponsor’s respective parents, affiliates, subsidiaries, retailers, agencies and their respective officers, directors, employees and agents (collectively, "Released Parties"), and members of their immediate families (parent, child, sibling, spouse and their respective spouses, regardless of where they reside) and households, whether or not related, are not eligible to enter or win.

If an Entrant enters to the Contest as a member of a team, the Entrant understands and agrees that, in order for a team to be eligible to participate, all of the members of the team must agree to these Official Rules. By entering, Entrant warrants that he/she has obtained the appropriate agreement and/or approval by his team members. In addition, an Entrant that is a member of a team understands and agrees that if the team is selected to receive a prize, the team is responsible for ensuring that the prize will be appropriately distributed to each member of the team and each member of the team must agree upon the payment method. The eligibility of an Entrant is tied to the eligibility of the team. So if one member of a team does not comply with these Official Rules or is disqualified, the team as a whole will be disqualified.

If an Entrant enters to the Contest as part of a corporation or other legal entity (hereinafter collectively "Entity"), the Entrant warrants that the appropriate corporate officers, executives, managers or other persons having the authority to approve Entrant's Entry into this Contest have approved the Entrant's Entry and the Entrant understands that these Official Rules will be binding on both the Entrant and the Entity. If such Entity is selected to receive a prize, a corporate officer or person entitled to bind the Entity will be required to validate that the Entrant is entitled to receive the prize on the behalf of the Entity and the corporate officer or person entitled to bind the Entity must provide the appropriate information for receiving the prize.

By entering, Entrant agrees to release, discharge, indemnify and hold harmless Released Parties from any and all liability, claims, judgments, losses, injuries, demands, damages, actions, and/or causes of actions, whether direct or indirect, which may be due to or arise out of participation in the Contest or any portion thereof, or the acceptance, use/misuse or possession of any prize or Released Parties’ use of any of the rights granted herein. The Official Rules and the decisions of the Sponsor and independent judges are final and binding in all respects. All applicable federal, state and local laws and regulations apply. The Contest is void wherever prohibited or restricted by any mandatory national, state or other government laws in form and language as provided herein and is subject to all applicable mandatory federal (national), state and local laws.

By participating, Entrants agree to these Official Rules and to the decisions of the Judges, whose decisions are final and binding in all respects. If you do not accept these Official Rules, you are not eligible to participate in the Contest. To the maximum extent permitted by applicable law, the Sponsor reserves the right at its sole discretion to amend, withdraw or revise these Official Rules and the Prizes at any time without notice and in such event the Sponsor shall not have any liability whatsoever.

All entries shall remain the property of Entrants. However by submitting an Entry, Entrant acknowledges that Sponsor may obtain many entries under this Contest and that such entries may be similar or identical in theme, idea, format or other respects to others submitted under this Contest and/or other contests or otherwise involving the Sponsor, and agrees to waive any and all claims he/she may have had, may have, and/or may have in the future, and that any composition, and/or works accepted, reviewed and/or used by the Sponsor (or its designees) may be similar to his/her Entry. Entrant acknowledges and agrees that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to his/her Entry.

With regard to Entry submissions, you understand and agree that you are solely and fully responsible for any and all aspects of the Entry and content submitted, including but not limited to its legality, appropriateness and non-infringement of third party intellectual property rights, and the Sponsor shall not be liable in any way for such Entry. The Sponsor shall have no obligation to monitor any Entry provided by you to the Sponsor, but may do so at its discretion.

HOW TO ENTER:
Call to Entry: To enter the Contest, the participant must go to the Contest web site (the "Site") during the Contest Period and to register their contact information. Once the registration page is complete, users will then be directed to the contest upload page where they will then select the category for which they will submit their application. The categories include e.g. Eco/Being Green, Productivity, Life Improvement, and Entertainment.

Specific criteria for each category may be found on the Site. Nokia has the right at its sole discretion to add, change, amend, withdraw or revise such categories at any time without notice and in such event the Sponsor shall not have any liability whatsoever.

Once the category has been selected, users will then be able to upload their application; submit information in an open text field, upload a video or whitepaper explaining the purpose of their application.

SUBMISSION REQUIREMENTS:
For a qualified Entry, the Entrant must submit all the files required for a successful installation of the application, information on which Nokia devices can run the application, and a brief description of the problem that the application solves. The description submitted must be 100 words or less. The optional supporting documentation must be in .doc, .pdf. .xls, .ppt, .rtf, or .txt format and the optional videos must be 2 minutes or less and no larger than 3 megabytes.

To qualify for a global prize, all Entry materials, including the application and the supporting documentation, must be in the English language. To qualify for any additional special local prizes, the Entry materials must be in the local language as specified on the Site, e.g. in Arabic, Chinese, Dutch, French, Portuguese, or Spanish.

The decisions of the judges are final and binding. Sponsor reserves the right to not award all prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified entries. Entries cannot be revised or altered once submitted. Throughout the Contest Period, Sponsor specifically reserves the right, exercisable at its sole election, to screen any and all entries and to disqualify from prize consideration those entries that Sponsor determines, in its sole discretion, to be inappropriate, obscene, not in keeping with Sponsor’s image or that otherwise do not comply with these Official Rules. Entries must also comply with the following guidelines:

  • Cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity;
  • Cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;
  • Cannot be obscene or offensive, endorse any form of hate or hate group;
  • Cannot promote terrorist acts such as providing instructions on how to assemble bombs, grenades and other such weapons or provide instructional information about illegal activities;
  • Cannot defame, misrepresent or contain disparaging or slanderous remarks about Sponsor, Sponsor’s partners, or its products, or other people, products or companies;
  • Cannot contain patents, trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
  • Cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in Web Sites, television, movies or other media) without permission;
  • Cannot contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, other than participant, without permission;
  • Cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and
  • Cannot depict, and cannot itself, be in violation of any law.
Sponsor reserves the right to, and may or may not, monitor/screen Entries prior to posting them to the Web Site. By participating, you acknowledge that Sponsor has no obligation to use or post any Entry you submit. Submission of an Entry grants Sponsor and its agents an unlimited, worldwide, perpetual, license and right to publish, edit, use, publicly perform, or display the Entry in any way, worldwide, in any and all media, without limitation, and without consideration to the participant.

INFORMATION REGARDING ENTRIES:
OWNERSHIP: Each Entrant retains ownership of all intellectual property rights in and to the Entry that Entrant had before submission, including the right to distribute the Entry application commercially at any time. However as a condition of Entry, Entrant hereby grants Sponsor (NOKIA) perpetual, irrevocable, worldwide, royalty-free, fully sub-licensable, and non-exclusive license to use, reproduce, copy, adapt, publicly perform, communicate to the public, make available and publicly display any Entry that Entrant submits to this Contest, throughout the world in any media, product and/service, including, without limitation, advertising, marketing and promotional materials, and digital reproductions, without compensation, restrictions on use, acknowledgement of source, accountability or liability, and with waiver of all moral rights and rights of attribution, integrity and identity to the extent permitted by mandatory laws, solely to the extent necessary to fulfill Sponsor’s obligations under the Contest (e.g. allowing Sponsor to evaluate the Entry for purposes of the Contest) and for marketing and promotional purposes only (e.g. to advertise, display or otherwise promote Sponsor's (Nokia's) platforms). Entrant understands Sponsor and its designers may reproduce, publicly perform, and publicly display the Entry including, but not limited to the right to make screenshots and video clips available for promotional purposes in any and all forms of media, whether now known or hereafter devised (including www.forum.nokia.com and/or www.callingallinnovators.com), throughout the world, in perpetuity, without any type/form of notice to Entrant or any third party and without payment or permission or compensation of any kind or amount. By no means will the Entrant’s Entry and all accompanying personally identifiable information be used for non-Contest related purposes.

REPRESENTATIONS AND WARRANTIES: Each Entrant hereby represents and warrants that (i) Entry is his/her original work and was created by himself/herself, (ii) the Entry has not won previous awards granted by Nokia; (iii) the Entry is original to such Entrant and does not violate or infringe the intellectual property, proprietary or other rights of any third party, (iv) such Entrant possesses and controls all rights necessary to submit the Entry irrevocably and without restriction to Sponsor, and (v) that publication of the Entry via various media including Web posting, will not infringe on the rights any third party rights. Any such Entrant will indemnify and hold harmless, Sponsor from any claims to the contrary.

GENERAL CONDITIONS: All Entries may be posted on the Site at any and all times during the Contest Period. In no event shall the Released Parties be responsible for any late, lost, illegible, indecipherable, incomplete, stolen, garbled, delayed, inaccurate or misdirected entries or commercials, all of which are invalid and will not be able to be selected for any prize hereunder.

Entry will be deemed made by the authorized account holder of the email address submitted at time of Entry and he/she must comply with these Official Rules. The authorized account holder of an email address is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential prize winner may be required to provide proof (to Sponsor’s satisfaction) that he/she is the authorized account holder of the email address associated with the potentially prize-receiving Entry. Entries generated by script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. Information collected from the entrants is used for the purposes of keeping the entrants informed about the contest and notifying the potential prize winners, and such information will not be re-used for future marketing communications, sold or shared in any manner by Released Parties or any third parties unless the Entrant has elected to receive additional information and promotional material from Sponsor or a third party. By entering the Contest, each Entrant agrees to all of the terms and conditions of the Sponsor’s Privacy Policy, which is available at http://www.forum.nokia.com/main/general/privacy_policy.html.

Contest Judging: The Contest Judging begins at 12:00 AM EST on May 19, 2010. The finalists of Calling All Innovators will be announced in June 2010, and the winners will be announced in September 2010 (exact date to be announced).

All eligible entries received will be judged by the Sponsor, industry experts and its Contest entities based on the following criteria:

  • Quality / Functionality: the application or service must be fully functional and run successfully on a Nokia device and platforms.
  • Usability / Creativity: the application demonstrates superior user experience (UI, graphics, etc.) e.g. by leveraging the latest technologies.
  • Uniqueness, novelty value and innovativeness: display creativity in applications, use established technology in a unique way, leverage the latest technologies, etc.
  • Commercial viability / Market potential: ability to fulfill users' needs, customer adoption.
PRIZES:
The top three submissions in each category (Eco/Being Green, Entertainment, Productivity, Life Improvement) will receive the following cash prizes:
  • Grand Prize winner: 30,000 USD in cash
  • 2nd Place: 15,000 USD in cash
  • 3rd Place: 5,000 USD in cash
The Grand Prize winner in each category will receive Spotlight Placement in Nokia’s Ovi Store (http://store.ovi.com).

The winners in all 4 application categories mentioned above will also receive a possibility to take advantage of in-depth usability and design consultation by a professional UX specialist in Forum Nokia’s User Experience Evaluation program (value of 890 EUR).

Additionally, the winners in all 4 application categories will receive a one-year membership in Forum Nokia Launchpad (http://www.forum.nokia.com/Premium_Services/Forum_Nokia_Launchpad.xhtml) (value of 400 EUR).

Furthermore, Nokia may, at its sole discretion, award selected developers a paid travel and accommodation to demonstrate their applications at a Nokia specified event during 2010.

Above and beyond the prizes that will be given to the top three Entry submissions in each of the four application categories, all Entries – whether they are finalists or not – will be eligible to win special prizes that span across the four contest categories. These special prizes are based on the type of technology used to create the app, or other award criteria, as noted below

  • Best mobile computing application will receive $50,000 (USD) in cash, plus the winner of this special prize will be included in a multi-million dollar global marketing campaign that will be used to help promote the winning app.
  • Best application for the Nokia N900 will receive $50,000 (USD) in cash.
  • Best cross-platform application using Qt will receive $50,000 (USD) in cash.
  • Best locally relevant application with global potential will receive $15,000 (USD) in cash.
Additionally, Nokia has the right, at its sole discretion, to award other prizes. The best locally relevant application in select countries will be eligible to receive cash prizes, too (amount varies by country). Please see the country pages for the select countries that are participating in this prize offer for more details.

PRIZES MAY BE SUBSTITUTED BY THE SPONSOR FOR ITEMS OF EQUAL OR GREATER ARV.
Winner and Travel Companion must be able to travel on travel dates as designated by the Sponsor to receive the prize. Winner and Travel Companion must travel together on the same itinerary and must travel to and from the major airport closest to the Winner’s residence. If any Winner’s residence is within 100 miles of the event location, the prize will not include air transportation and the Sponsor may substitute round-trip ground transportation in its sole discretion. Winner’s Travel Companion must be 18 years of age or older. Flight details are subject to space availability and airline carrier’s regulations and conditions apply. Sponsor reserves the right to require the travelers to fly on certain days of the week, and/or at certain times of the day or night. Travel must be reserved 30 days in advance of departure. Hotel room will be at Sponsor’s choice of hotel. The trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Any picture identification requirements associated with air travel are the Winner and Travel Companion’s responsibility. Winner and their travel guests must secure their own traveler's insurance. Sponsor is not responsible for lost or mutilated travel certificates and none will be replaced. Certain additional restrictions may apply. Airline tickets are non-refundable, non-transferable, and are not valid for upgrades. All other expenses not specified herein (including, without limitation, taxes, meals, beverages, ground transportation other than that mentioned herein, hotel incidentals, service charges and gratuities) are the sole responsibility of the Winner. In the event any of the included events do not take place as scheduled, Sponsor’s sole responsibility will be to award the remaining available portion of the prize and no substitution or compensation will be provided for unawarded portion of prize.

PRIZE WINNER MUST BE AVAILABLE TO COMPLY WITH THE SCHEDULE OF THE NOKIA SPECIFIED EVENT. NO PRIZE WINNER HEREUNDER SHALL BE PERMITTED TO (A) REPLACE HIS/HER DESIGNATED PRIZE WITH ANOTHER PRIZE OR ITEM, (B) TRANSFER OR ASSIGN HIS/HER DESIGNATED PRIZE TO ANOTHER PERSON, OR (C) REDEEM HIS/HER PRIZE FOR CASH. RELEASED PARTIES RESERVE THE RIGHT, EXERCISABLE AT ANY TIME IN THEIR SOLE DISCRETION, TO SUBSTITUTE A PRIZE (OR PORTION THEREOF), PROVIDED THAT THE SUBSTITUTE PRIZE IS AN ITEM OF COMPARABLE OR GREATER VALUE. PRIZES ARE AWARDED "AS IS" WITH NO WARRANTY OR GUARANTEE, EITHER EXPRESSED OR IMPLIED BY THE RELEASED PARTIES. ALL PRIZE DETAILS ARE AT SPONSOR’S SOLE DISCRETION. SPONSOR RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO SUBSTITUTE A PRIZE OF EQUAL OR GREATER VALUE, IF PRIZE, OR PORTION OF PRIZE, BECOMES UNAVAILABLE. ANY COSTS AND EXPENSES ASSOCIATED WITH PRIZE ACCEPTANCE AND USE NOT SPECIFIED HEREIN AS BEING PROVIDED ARE EACH WINNER’S SOLE RESPONSIBILITY, INCLUDING ANY AND ALL FEDERAL, STATE AND LOCAL TAXES.

PRIZE AWARDING: Prizes will only be awarded upon a potential winner’s verification of eligibility and compliance with these Official Rules, any other country specific legislation based on winner’s domicile, and final approval by Sponsor. Nokia is not responsible for decisions on the division or distribution of the prizes among or between any team members or Entity. Decisions on how to distribute or divide any prize among individual team members or within Entity is the sole responsibility of the participating team or Entity.

Potential winners will receive prize notification via telephone, electronic mail, United States Postal Mail and/or overnight mail. All prizes will be fulfilled 4 to 6 weeks after the recipient of that prize has been verified. If a potential winner of any prize cannot be contacted; is ineligible; fails to claim prize; if prize or prize notification is returned undeliverable; or if a potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit that prize and, at Sponsor’s discretion, the prize will be awarded to a runner-up. Potential Grand Prize winner will have three (3) days from date notification is issued to confirm that the notification has been received or, at Sponsor’s discretion, the prize will be awarded to a runner-up. After confirming notification receipt, the potential Grand Prize winner will be sent via United States Postal Mail and/or overnight mail an Affidavit of Eligibility/Compliance & Publicity (unless prohibited)/Liability Release forms. These forms must be completed, signed, notarized and returned to Sponsor within three (3) days of date of issuance or prize will be forfeited and, at Sponsor’s discretion, the prize will be awarded to a runner-up. Each winner (and, if an eligible minor, his/her parent or legal guardian) grants Sponsor and its designees the right to use and publish his/her proper name and city and state of residence and to use his/her name and likeness solely for advertising and promotional purposes for this Contest, in and all media now or hereafter devised worldwide without limitation and without notice or further compensation or permission, except where prohibited by law.

PRIVACY:
All information collected will be treated in a manner consistent with Sponsor’s privacy policy, available by accessing the following URL: http://www.forum.nokia.com/main/general/privacy_policy.html. This includes sharing information about Entrants with affiliates who are prize suppliers.

DISQUALIFICATION:
Released Parties are not responsible for technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware, software or web site. Released Parties are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, for incorrect or inaccurate entry information, howsoever caused, the incorrect entry or transmission, or other error of any kind whether human, mechanical or electronic, including but not limited to any injury or damage to participant’s or any other person’s computer related to or resulting from participation in this Contest; typographical, printing or other errors in these Official Rules, in any Contest-related advertisements or other materials; the administration of the Contest, the judging of entries, the announcement of the prizes; the unavailability of Asset Library Materials; or any problems related to the administration of the Contest. Entrants found tampering with or abusing any aspect of this Contest, as solely determined by the judges, will be disqualified and all associated entries will be void. If disqualified for any of the above abuses, Sponsor reserves the right to terminate entrant's eligibility to participate in the Contest. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right (among other causes of action and remedies) to seek damages (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right to terminate, cancel, suspend and/or modify the Contest (or any portion thereof) if any fraud, bug, virus, non-authorized human intervention or other technical problem corrupts the administration, security, or proper play of the Contest, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to determine the winners from among the eligible entries received up to the time of the impairment using the judging procedures outlined above.

TAX INFORMATION:
All federal, state, local, and other taxes on prizes are the sole responsibility of the applicable winner.

GENERAL INFORMATION:
Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed exclusively by, and construed exclusively in accordance with, (a) the laws of the State of Finland (b) and all other eligible countries laws.

This Contest is conducted in English (which will be given its everyday ordinary meaning), and any and all disputes will be resolved in accordance with the laws of the State of Finland.

Where Nokia has provided a translation of the English language version of the Site, then you agree that the translation is provided for your convenience only and that the English language version of the Site alongside these Official Rules will govern your relationship with Nokia. If there is any contradiction between what the English language version and a translation, then the English language version shall prevail.

However by submitting an entry, Entrant acknowledges that Sponsor may obtain many entries under this Contest and that such entries may be similar or identical in theme, idea, subject, format or other respects to others submitted under this Contest and/or other contests or otherwise involving the Sponsor, and agrees to waive any and all claims he/she may have had, may have, and/or may have in the future, and that any composition, and/or works accepted, reviewed and/or used by the Sponsor (or its designees) may be similar to his/her entry. Entrant acknowledges and agrees that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to his/her entry.

With regard to Entry submissions, you understand and agree that you are solely and fully responsible for any and all aspects of the Entry and content submitted, including but not limited to its legality, appropriateness and non-infringement of third party intellectual property rights, and the Sponsor shall not be liable in any way for such Entry. The Sponsor shall have no obligation to monitor any Entry provided by you to the Sponsor, but may do so at its discretion.

HOW TO ENTER:
LIMIT: One submission per category per Entrant for the length of the Promotion Period. Any entries exceeding this limit will be ineligible and will not be considered.

Call to Entry: To enter the Contest, the participant must go to the Contest web site (the "Site") during the Submission Period and to register their contact information. Once the registration page is complete, users will then be directed to the contest download page where they will be given access to a template which is to be filled out to the best extent possible. Users may then visit the upload page where they will then submit their Entry for the Contest.

A suplimentary video explaining the purpose of their product, application, service, idea or plan is encouraged and can be uploaded as well, or a link may be provided within the template application.

SUBMISSION REQUIREMENTS:
The description of the Entry submitted that can be published by the Sponsor must be 100 words or less (“Public Description”). The optional supporting documentation must be videos two (2) minutes or less in duration and no larger than 3 megabytes.

All Entry materials must be at least in the English language to qualify.

The decisions of the judges are final and binding. Sponsor reserves the right to not award the funding if, in its sole discretion, it does not receive a sufficient number of eligible and qualified entries. Entries cannot be revised or altered once submitted. Throughout the Contest Period, Sponsor specifically reserves the right, exercisable at its sole election, to screen any and all entries and to disqualify from prize consideration those entries that Sponsor determines, in its sole discretion, to be inappropriate, obscene, not in keeping with Sponsor’s image or that otherwise do not comply with these Official Rules. Entries must also comply with the following guidelines:

  • Cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity;
  • Cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;
  • Cannot be obscene or offensive, endorse any form of hate or hate group;
  • Cannot promote terrorist acts such as providing instructions on how to assemble bombs, grenades and other such weapons or provide instructional information about illegal activities;
  • Cannot defame, misrepresent or contain disparaging or slanderous remarks about Sponsor, Sponsor’s partners, or its products, or other people, products or companies;
  • Cannot contain patents, trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
  • Cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in Web Sites, television, movies or other media) without permission;
  • Cannot contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, other than participant, without permission;
  • Cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate;
  • Cannot depict, and cannot itself, be in violation of any law; and
INFORMATION REGARDING ENTRIES:
OWNERSHIP: Each Entrant retains ownership of all intellectual property rights in and to the Entry that Entrant had before submission. However as a condition of Entry, Entrant hereby grants Sponsor (NOKIA) perpetual, irrevocable, worldwide, royalty-free, fully sub-licensable, and non-exclusive license to:

(i) use, reproduce, copy and adapt any Entry that Entrant submits to this Contest without compensation, restrictions on use, acknowledgement of source, accountability or liability, and with waiver of all moral rights and rights of attribution, integrity and identity to the extent permitted by mandatory laws, solely to the extent necessary to fulfill Sponsor’s obligations under the Contest (e.g. allowing Sponsor to evaluate the Entry for purposes of the Contest); and

(ii) use, reproduce, copy, adapt, publicly perform, communicate to the public, make available and publicly display any Public Description that Entrant submits to this Contest as a part of Entry, throughout the world in any media, product and/service, including, without limitation, advertising, marketing and promotional materials, and digital reproductions, without compensation, restrictions on use, acknowledgement of source, accountability or liability, and with waiver of all moral rights and rights of attribution, integrity and identity to the extent permitted by mandatory laws, solely to the extent necessary to fulfill Sponsor’s obligations under the Contest and for marketing and promotional purposes only (e.g. to advertise, display or otherwise promote Sponsor's (Nokia's) platforms and activities), including www.forum.nokia.com and/or www.callingallinnovators.com, throughout the world, in perpetuity, without any type/form of notice to Entrant or any third party and without payment or permission or compensation of any kind or amount. By no means will the Entrant’s Entry and all accompanying personally identifiable information be used for non-Contest related purposes.

REPRESENTATIONS AND WARRANTIES: Each Entrant hereby represents and warrants that (i) Entry is his/her original work and was created by himself/herself, (ii) has not won previous awards (previous investment or venture funding may be a factor, but does not exclude consideration); (iii) the Entry is original to such entrant and does not violate or infringe the intellectual property, proprietary or other rights of any third party, (iv) such Entrant possesses and controls all rights necessary to submit the Entry irrevocably and without restriction to Sponsor, and (v) that publication of the Public Description via various media including Web posting, will not infringe on the rights any third party rights. Any such Entrant will indemnify and hold harmless, Sponsor from any claims to the contrary.

GENERAL CONDITIONS: In no event shall the Released Parties be responsible for any late, lost, illegible, indecipherable, incomplete, stolen, garbled, delayed, inaccurate or misdirected entries or commercials, all of which are invalid and will not be able to be selected for any prize hereunder.

Entry will be deemed made by the authorized account holder of the email address submitted at time of Entry and he/she must comply with these Official Rules. The authorized account holder of an email address is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential prize winner may be required to provide proof (to Sponsor’s satisfaction) that he/she is the authorized account holder of the email address associated with the potentially prize-receiving Entry. Entries generated by script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. Information collected from the entrant is used for the purpose of the notification of potential prize winners, and such information will not be re-used for future marketing communications, sold or shared in any manner by Released Parties or any third parties unless the Entrant has elected to receive additional information and promotional material from Sponsor or a third party. The Contest Judging: The Contest Judging begins on Friday, January 8th 2010 at 10:00:00 AM PST and ends in June 2010 (date to be announced). All eligible entries received will be judged by the Sponsor, industry experts and its Contest Entities based on a balance of the following criteria:

  • Ability of product, software or service to raise the standard of living of the target customer in an obvious and undeniable manner
  • Target customer-base in general has less than a $5 (USD) per day income; submissions targeting relatively low income customers (based upon the comparitive broader national demographics of their country of residence) may be considered on a case-by-case basis at the sole discretion of the judges
  • The overall viability of the business proposition/plan as a profitable venture investment based upon the judgement of the Nokia judges
  • The scope and reach of the proposed business, product, or service warrants a full one million USD investment award.
Finalists will be notified in mid-May of 2010 and will be given travel and housing grants to cover expenses of one participant and one travel companion as detailed below to attend a final on-stage pitch session in front of a panel of judges in June of 2010 (exact date to be announced) in the San Francisco, California region of the United States of America.

Finalists will receive notification via telephone, electronic mail, United States Postal Mail and/or overnight mail in mid-May 2010. If a finalist cannot be contacted; is ineligible; if notification is returned undeliverable; or if a finalist otherwise fails to fully comply with these Official Rules, he/she will forfeit the potential prize and, at Sponsor’s discretion, the finalist slot will be awarded to a runner-up. Finalists will have seven (7) days from date notification is issued to confirm that the notification has been received or, at Sponsor’s discretion, the finalist slot will be awarded to a runner-up. After confirming notification receipt, the finalist will be sent via United States Postal Mail and/or overnight mail an Affidavit of Eligibility/Compliance & Publicity (unless prohibited)/Liability Release forms. These forms must be completed, signed, notarized and returned to Sponsor within seven (7) days of date of issuance or finalist slot will be forfeited and, at Sponsor’s discretion, the slot will be awarded to a runner-up. Each finalist (and, if an eligible minor, his/her parent or legal guardian) grants Sponsor and its designees the right to use and publish his/her proper name and city and state of residence and to use his/her name and likeness solely for advertising and promotional purposes for this Contest, in and all media now or hereafter devised worldwide without limitation and without notice or further compensation or permission, except where prohibited by law.

PRIZES:
The winning Entrant organization shall receive:

  • $1 million USD as an investment award. The winner shall receive the right to accept a ONE MILLION USD investment award by Nokia, in the form of convertible note debt investment. Only one prize will be granted at the end of the Challenge.
  • Normal levels of business guidance and assistance from Nokia as would be expected from an investor motivated in seeing the winning organization succeed
  • Public relations promotion as part of the Calling All Innovators campaign, with possible further public relations support depending upon ongoing circumstances and opportunities as they relate to Nokia, Forum Nokia and Nokia Growth Partners
  • Marketing exposure across Nokia web properties and related Nokia promotions as a winner of a Calling All Innovators award
If the winning organization is a software application developer:
  • One year complimentary membership into Forum Nokia’s highest level of support – Pro Accelerator – which includes a dedicated business development resource and technical support resource
  • OVI Store distribution, as applicable

The winner of the Contest will be announced in June of 2010. The winner is REQUIRED to participate in Sponsor-related promotional activity around the Challenge during the June 2010 event, and on an ongoing basis thereafter as needed.

Winner and Travel Companion must be able to travel on travel dates as designated by the Sponsor to participate in final judging and to receive the prize. Travel, housing and meals will be covered by the Sponsor. Winner and Travel Companion must travel together on the same itinerary and must travel to and from the major airport closest to the Winner’s residence. If any Winner’s residence is within 100 miles of the event location, the prize will not include air transportation and the Sponsor may substitute round-trip ground transportation in its sole discretion. Winner’s Travel Companion must be 18 years of age or older. Flight details are subject to space availability and airline carrier’s regulations and conditions apply. Sponsor reserves the right to require the travelers to fly on certain days of the week, and/or at certain times of the day or night. Travel must be reserved 30 days in advance of departure. Hotel room will be at Sponsor’s choice of hotel. The trip may not be combined with any other offer and travel might not qualify for frequent flyer miles. Any picture identification requirements associated with air travel are the Winner and Travel Companion’s responsibility. Winner and their travel guests must secure their own traveler's insurance. Sponsor is not responsible for lost or mutilated travel certificates and none will be replaced. Certain additional restrictions may apply. Airline tickets are non-refundable, non-transferable, and are not valid for upgrades. All other expenses not specified herein (including, without limitation, taxes, beverages, ground transportation other than that mentioned herein, hotel incidentals, service charges and gratuities) are the sole responsibility of the Winner. In the event any of the included events do not take place as scheduled, Sponsor’s sole responsibility will be to award the remaining available portion of the prize and no substitution or compensation will be provided for unawarded portion of prize.

PRIZE WINNER MUST BE AVAILABLE TO COMPLY WITH THE SCHEDULE OF THE NOKIA SPECIFIED EVENT. NO PRIZE WINNER HEREUNDER SHALL BE PERMITTED TO (A) REPLACE HIS/HER DESIGNATED PRIZE WITH ANOTHER PRIZE, (B) TRANSFER OR ASSIGN HIS/HER DESIGNATED PRIZE TO ANOTHER PERSON, OR (C) REDEEM HIS/HER PRIZE FOR CASH. PRIZES ARE AWARDED "AS IS" WITH NO WARRANTY OR GUARANTEE, EITHER EXPRESSED OR IMPLIED BY THE RELEASED PARTIES. ALL PRIZE DETAILS ARE AT SPONSOR’S SOLE DISCRETION. ANY COSTS AND EXPENSES ASSOCIATED WITH PRIZE ACCEPTANCE AND USE NOT SPECIFIED HEREIN AS BEING PROVIDED ARE EACH WINNER’S SOLE RESPONSIBILITY, INCLUDING ANY AND ALL FEDERAL, STATE AND LOCAL TAXES.

PRIZE AWARDING: Limit of one (1) prize for one Entrant. Prize will only be awarded upon a potential winner’s verification of eligibility and compliance with these Official Rules, acceptance of other applicable terms regarding the funding, any other country specific legislation based on winner’s domicile, and final approval by Sponsor. Potential winner will receive notification via telephone, electronic mail, United States Postal Mail and/or overnight mail by mid-May 2010. If a potential winner cannot be contacted; is ineligible; fails to claim prize; if prize or prize notification is returned undeliverable; or if a potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit that prize and, at Sponsor’s discretion, the prize will be awarded to a runner-up. Potential Grand Prize winner will have seven (7) days from date notification is issued to confirm that the notification has been received or, at Sponsor’s discretion, the prize will be awarded to a runner-up. After confirming notification receipt, the potential Grand Prize winner will be sent via United States Postal Mail and/or overnight mail an Affidavit of Eligibility/Compliance & Publicity (unless prohibited)/Liability Release forms. These forms must be completed, signed, notarized and returned to Sponsor within seven (7) days of date of issuance or prize will be forfeited and, at Sponsor’s discretion, the prize will be awarded to a runner-up. Each winner (and, if an eligible minor, his/her parent or legal guardian) grants Sponsor and its designees the right to use and publish his/her proper name and city and state of residence and to use his/her name and likeness solely for advertising and promotional purposes for this Contest, in and all media now or hereafter devised worldwide without limitation and without notice or further compensation or permission, except where prohibited by law.

All information collected will be treated in a manner consistent with Sponsor’s privacy policy, available by accessing the following URL: http://www.forum.nokia.com/main/general/privacy_policy.html. This includes sharing information about entrants with affiliates who are prize suppliers.

DISQUALIFICATION:
Released Parties are not responsible for technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware, software or web site. Released Parties are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, for incorrect or inaccurate Entry information, howsoever caused, the incorrect Entry or transmission, or other error of any kind whether human, mechanical or electronic, including but not limited to any injury or damage to participant’s or any other person’s computer related to or resulting from participation in this Contest; typographical, printing or other errors in these Official Rules, in any Contest-related advertisements or other materials; the administration of the Contest, the judging of entries, the announcement of the prizes; or any problems related to the administration of the Contest. Entrants found tampering with or abusing any aspect of this Contest, as solely determined by the judges, will be disqualified and all associated entries will be void. If disqualified for any of the above abuses, Sponsor reserves the right to terminate Entrant's eligibility to participate in the Contest. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right (among other causes of action and remedies) to seek damages (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right to terminate, cancel, suspend and/or modify the Contest (or any portion thereof) if any fraud, bug, virus, non-authorized human intervention or other technical problem corrupts the administration, security, or proper play of the Contest, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to determine the winners from among the eligible entries received up to the time of the impairment using the judging procedures outlined above.

TAX INFORMATION:
All federal, state, local, and other taxes on prizes are the sole responsibility of the applicable winner.

GENERAL INFORMATION:
Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed exclusively by, and construed exclusively in accordance with, (a) the laws of the State of Finland (b) and all other eligible countries laws. This Contest is conducted in English (which will be given its everyday ordinary meaning), and any and all disputes will be resolved in accordance with the laws of the State of Finland.
